1. Agreement to Terms

By accessing or using the services provided by Pexally, including our website, custom software development services, SaaS products, WordPress plugins (such as Pexally Invoices), and any future digital platforms, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, please refrain from using our services.

2. Description of Services

Pexally is a software development company. We provide a variety of digital solutions, including but not limited to:

• Custom Software Development: Bespoke engineering and application development tailored to client needs.
• Software as a Service (SaaS): Subscription-based platforms and cloud software.
• Digital Products & Plugins: Readily available software add-ons, such as our WordPress plugins, designed to enhance digital workflows, billing, and automation.

3. Licensing and Digital Products

• Plugin Licensing: Unless otherwise stated, the open-source codebase of our WordPress plugins is licensed under the GNU General Public License (GPL) v2 or later.
• API Access & Premium Features: Certain products (such as Pexally Invoices) require a valid license key and connection to our API to access premium features, payment routing, and software updates. We reserve the right to revoke API access if abuse or license violation is detected.
• Restrictions: You may not reverse-engineer closed-source components of our SaaS products, bypass API license restrictions, or use our platforms for illegal activities.

4. Custom Software Contracts

For custom software development and enterprise services, additional terms, deliverables, and confidentiality agreements will be outlined in a specific Statement of Work (SOW) or Master Services Agreement (MSA) signed by both Pexally and the client. In the event of a conflict, the terms of the individual SOW shall supersede these general terms.

5. Payments, Fees, and Payouts

Fees for our digital products, SaaS subscriptions, and services will be clearly stated at the point of purchase or within your project proposal.

• API & Transaction Fees: For products utilizing Pexally as an intermediary (e.g., our white-label invoicing payouts), processing or platform fees may apply. These are communicated prior to processing transactions.
• Third-Party Processors: Payouts and external transactions are subject to the terms of our third-party payment gateways (e.g., PayPal, Stripe). Pexally is not liable for funds frozen or delayed by external financial processors.

6. User Responsibilities

You are solely responsible for the content you create, the clients you manage, and the data you process using our software. Pexally is not responsible for disputes between you and your end-users or clients. You agree to use our software in compliance with all applicable local, state, and international laws.

7. Limitation of Liability

In no event shall Pexally, nor its directors, employees, partners, agents, or suppliers, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, business interruption, or other intangible losses resulting from your access to, use of, or inability to use our products and services.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time as our company and product catalog grow. We will try to provide at least 30 days’ notice prior to any material changes taking effect.
